Terms of Service

These Terms of Service ("Terms") govern your use of the reyah.ai website and the services provided by Reyah ("Reyah", "we", "us" or "our"). By using our website, booking a call, or engaging us to build and operate a GP headhunting system, you agree to these Terms.
1. About Reyah
Reyah is not a recruitment agency. We build and operate done-for-you outbound headhunting infrastructure for Australian medical clinics. We build the system, run the first campaign, and train the clinic to operate it.
2. Definitions
"Client" means a clinic or organisation that engages Reyah. "System" means the outreach infrastructure we build for a Client (sending domains, inboxes, SMS, CRM, automations, database and messaging). "Contact" means a doctor or other individual contacted through a campaign. "Services" means the work described in clause 3.
3. The Services
Where you engage us, we will, as set out in your order or proposal:
- build the System, including 2–4 dedicated sending domains and inboxes (never your primary domain), SMS capability, CRM and automation, with SPF, DKIM and DMARC configured and a warm-up period;
- build a database of relevant doctors from publicly available sources, cross-referenced against AHPRA;
- craft campaign messaging under your sender identity and sign-off;
- run the first outreach campaign, capture and classify replies, and alert you so you can respond; and
- hand over the System and train your team to operate it.
4. What is not included
Unless otherwise agreed in writing, the Services do not include: interviewing or clinically assessing candidates; employment contracts, paperwork or visa/immigration matters; onboarding the hired doctor; or providing legal, migration, tax or clinical advice. Responsibility for selecting, assessing and employing any doctor rests with the Client.
5. Fees and payment
Our standard engagement is payable 50% on signing (which funds the build from day one) and 50% on the first hire's start date. There are no retainers, no per-placement fees and no lock-in. Fees are in Australian dollars and exclusive of GST.
6. Guarantee
If a campaign does not produce a result, we will keep launching campaigns until a hire is made, on the terms set out in your order or proposal (which may include a replacement guarantee for a defined period). The guarantee covers continued campaign operation; it is not a guarantee of any specific number of hires within a specific timeframe, and it depends on the Client meeting its responsibilities under clause 7.
7. Client responsibilities
To get results, you agree to:
- respond to positive replies the same day (and in any event within 24 hours), since reply speed is the biggest factor in conversion;
- provide accurate information about your clinic, roles and sender identity, and the access we reasonably need to build and run the System;
- review and approve messaging, and ensure your use of the System complies with applicable law; and
- not use the System for any unlawful, misleading or prohibited purpose.
8. Acceptable use and compliance
The System is designed to be compliant by design. You agree that outreach run through the System will use only publicly available data, will screen against do-not-contact and suppression lists, will comply with the Spam Act 2003 (Cth) (including sender identification and a functional unsubscribe), and will honour opt-out and STOP requests. You must not use the System to send unlawful, deceptive, harassing or harmful messages, or to contact individuals who have opted out.
9. Intellectual property and ownership
You own your System. On handover and full payment, the Client owns the infrastructure built for it, the campaign data, the messaging written for it, and the candidate relationships generated. Reyah retains all rights in its own underlying methodology, know-how, templates, frameworks, software and tools, and in any general improvements to them. Reyah grants the Client a perpetual licence to use the messaging templates delivered as part of its System. Nothing transfers ownership of third-party platforms (such as your CRM provider), which remain subject to those providers' terms.
10. Confidentiality
Each party will keep the other's confidential information confidential and use it only to perform or receive the Services, except where disclosure is required by law.
11. Third-party services
The System relies on third-party platforms (for example, email, SMS, CRM and enrichment providers). Their availability and terms are outside our control, and we are not liable for their acts, omissions or outages. Your use of those platforms is subject to their own terms.
12. Disclaimers
The Services are provided with due care and skill. To the extent permitted by law, we do not warrant that the Services will result in any particular hiring outcome beyond the guarantee in clause 6, or that any platform will be uninterrupted or error-free. Information on our website (including guides and the cost calculator) is general in nature, is not legal, migration, tax, clinical or professional advice, and should not be relied on as such. Nothing in these Terms excludes, restricts or modifies any consumer guarantee or right under the Australian Consumer Law that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, and subject to any non-excludable rights, our total aggregate liability arising out of or in connection with the Services is limited to the fees paid by the Client for the engagement giving rise to the claim. We are not liable for indirect, incidental or consequential loss, or for loss of profits, revenue, goodwill or data.
14. Indemnity
The Client indemnifies Reyah against claims, losses and liabilities arising from the Client's breach of these Terms, its misuse of the System, or its failure to comply with applicable law (including in its handling of Contacts and candidates after handover).
15. Term and termination
These Terms apply while you use our website or receive the Services. Either party may terminate an engagement as set out in the relevant order or proposal, or for material breach that is not remedied within a reasonable period. Clauses intended to survive termination (including ownership, confidentiality, disclaimers, liability and indemnity) continue to apply.
16. Governing law
These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. The current version is always posted on this page with its "last updated" date. Continued use of the website or Services after changes are posted constitutes acceptance of the updated Terms.
